We as interested and concerned members and friends of Unitarian Universalist congregations in Pennsylvania join in association to advance communication and connection among our congregations.
UUPLAN is formed for the following purposes: To mobilize our voices and take action in support of Unitarian Universalist principles for a more just, equitable and compassionate Commonwealth.
Members of this organization are individuals who pay dues and support the purposes of UUPLAN and the principles of Unitarian Universalism.
Members shall elect the Nominating Committee for the next year at the Annual Meeting. The Nominating Committee consisting of three members will identify potential Directors. Duly elected Nominating Committee members will serve a 1-year term, serving no more than two consecutive terms.
Members shall elect the Board of Directors. The Board will consist of nine Directors. Duly elected Directors will serve a three-year term, with elections held every year for one-third of the Board seats.
The Board of Directors is elected at the annual meeting by the current membership. The Board of Directors fills vacancies at any time thereafter. Directors shall have the principal responsibility for the oversight of UUPLAN programs and activities. Board members shall be active members of UUA congregations. There shall be no fewer than 5 Directors, in addition to the officers named in Article VI. A quorum shall be achieved when four members of the Board are present at a regularly scheduled meeting. Business of the board shall be conducted by consensus whenever possible; in the absence of consensus on a particular issue, business may be transacted by a vote of two-thirds of those present.
The officers of the Unitarian Universalist Pennsylvania Legislative Advocacy Network shall be elected annually by the Board from among its members. Officers shall include: President, Vice-President, Treasurer, and Clerk.
The President shall chair the meetings of the Board.
The Vice-President shall act in the absence of the President and shall perform such duties as may be prescribed by the Board.
The Treasurer shall be responsible for all receipts and disbursements and shall keep adequate records of all financial transactions.
The Clerk shall attest to all official acts and instruments of Unitarian Universalist Pennsylvania Legislative Advocacy Network and shall perform all other duties as delegated by the Board.
The Annual Meeting shall be held each year in April. The meeting will be announced by mail no less than two weeks in advance to all current Board members and other interested parties.
The fiscal year of the Unitarian Universalist Pennsylvania Legislative Advocacy Network shall be July 1 – June 30
Upon dissolution of the Unitarian Universalist Pennsylvania Legislative Advocacy Network by a vote of 2/3 of membership present at an Annual Meeting, all assets, after debts and liabilities are satisfied, shall be transferred to the Unitarian Universalist Service Committee.
Unitarian Universalist Pennsylvania Legislative Advocacy Network shall not participate in partisan election activity or endorse candidates for public office, or carry on activities disallowed by either (A) an organization exempt from Federal Income Tax under section 501 (c) (3) of the Internal Revenue Code of 1954 (or corresponding provisions of any future U.S. Internal Revenue law), or (B) or by a corporation, contributions to which are deducible under section 170 (c) (2) of the Internal Revenue Code of 1954 (or corresponding provisions of any future U. S. Internal Revenue Law)
These bylaws were approved by a unanimous vote of the UUPLAN members at their meeting on September 29, 2007.
Amendments to these by-laws may be proposed at any regularly scheduled meeting. Copies must then be distributed to all members of the Board of Directors (either in person or by mail) at least 30 days before the next regularly scheduled meeting, at which time amendments to the by-laws may be approved by a 2/3 vote of those present.
